Description
Role Purpose
The successful candidate shall be responsible for the day to day management of the compliance and company secretarial functions of the elfc group and certain other elements of the group's corporate governance activities.
Role Responsibilities
Compliance Officer:
* Monitor and ensure compliance with applicable laws, regulations, policies and procedures and industry standards.
* Develop, implement and periodically review compliance policies, procedures and programs to mitigate all applicable risks.
* Provide advice to company, senior management, employees and key stakeholders for compliance-related questions and concerns.
* Develop and deliver compliance training programs for employees at all levels to raise awareness and ensure understanding of relevant laws, regulations and internal policies and procedures.
* Manage all applicable compliance reporting.
* Provide compliance advice on transactions and ad hoc questions.
* Manage the compliance team and ensure that the compliance program runs efficiently and in accordance with all internal policies and procedures.
Corporation Secretary:
* Support the board and senior management in adhering to the highest standards of corporate governance in the applicable areas of responsibility.
* Organize, attend, and document shareholder, board and committee meetings for elfc and its subsidiaries including preparing agendas, scripts, board papers, minutes and all other necessary documentation and liaison with external corporate services providers as applicable.
* Develop, implement and periodically review the constitutional documents, corporate management rules and other applicable corporate policies and procedures of elfc and its subsidiaries.
* Maintain accurate and up-to-date shareholder, board and committee records.
* Support transactions with corporate certificates and other corporate documentation as required.
* Manage all applicable corporate filings.
* Manage elfc group responses to third party KYC requests.
* Manage all applicable group and external corporate reporting.
Skills & Experience
Essential
* A degree in Law, Business Administration, Finance or a related field.
* Professional qualification in compliance (e.g., ICA, ACAMS) and/or Company Secretary (e.g., ICSA, CS) and/or Corporate Governance (e.g. CGI) preferred.
* Proven experience in the aviation leasing industry or law firm dealing with aircraft or engine leasing preferred.
* At least 5-7 years of experience in a compliance, legal or corporate governance role, with demonstrated knowledge of the relevant regulations in the industry.
* Experience working with boards of directors and senior management in a governance capacity.
