Job Description · Independently manage a diverse portfolio of asset management and corporate clients with responsibility for handling general legal, company secretarial and administrative duties and providing board meeting support services, such as attending board and committee meetings, liaising with company directors, etc.
· Builds and maintains strong relationships with clients and external stakeholders, non-executive directors, auditors, tax advisors, lawyers and other transaction parties · Proactively develop and maintain strong and effective working relationships within the Company and on occasions across the Client Service teams in other jurisdictions, promoting a culture of support, collaboration and a joined up approach to servicing clients · Assist in the investigation and resolution of client relationship issues, ensuring timely escalation of more complex client queries and issues to the Transaction Management Director · Support an on-going program of continuous improvement, identifying and escalating opportunities and implementing changes · Responsible for keeping up to date in relation legal and corporate governance developments Tasks (what does the role do on a day-to-day basis) · Assist with the process of on-boarding new clients including handling KYC issues, compliance regulations, ensuring clients meet client acceptance procedures · Preparation and distribution of board and board committee meeting materials, attendance at board and committee meetings and drafting of minutes of and matters arising · Manage general legal and company secretarial aspects of the companies · Completion of statutory filings with the Irish Companies Registration Office and Central Bank of Ireland as they fall due · Completion of Central Bank Individual Questionnaires and fitness & probity requests · Ensure all statutory books and records for client companies are updated to reflect any changes to the companies · Arrange for the execution of specific transactions such as capital increases, distribution of dividends, granting or obtaining loan facility, approving investments · Provide necessary guidance and support to more junior members of the team · Maintain and grow excellent relations with existing clients and intermediaries.
· Drafting corporate services agreements, to be able to discuss queries raised by clients during onboarding · Assist with operational projects to align day to day tasks with new regulatory requirements · May be required to act as directors on the Board of client companies (unregulated entities) within the team under supervision of the Transaction Management Director from time to time · Support the Transaction Management Director on business development initiatives and attend meetings with business partners, internal global network and potential new clients · Works closely with other teams in IQ-EQ, including but not limited to, Fund Management, Legal, Business Development, and Accounting, in order to achieve client objectives · Ensure clients are being billed accordingly with the terms of the Corporate Services Agreement and monitor / follow up on overdue fees · Flagging any other client issues to senior management · Identify market trends and legislative changes that may impact the business · Ensure compliance with internal policies and procedures, while actively contributing to process improvements within the team Qualifications Qualifications Essential · Degree in in Law, Business or a closely related field · Professional qualification e.g.
ICSA etc.
· At least 3-5 years of relevant work experience in a corporate services provider or in-house environment providing services to regulated funds and managing client relationships · Good knowledge of CBI requirements for regulated funds · Excellent organisational, time management and interpersonal skills · Excellent minute taking · A keen eye for detail and good knowledge of company law.
