Role Overview
To provide company secretarial support to our internal and external clients and to proactively contribute to the commercial success of our business. To train as a Chartered Secretary by completing the Chartered Governance Qualifying Programme.
As part of our close-knit team you will gain experience in board meeting preparation and minute taking responsibilities, statutory and regulatory compliance, and governance best practice.
With guidance, you will carry out your duties in a professional manner and in accordance with policies and procedures, legal/regulatory requirements, service levels and company standards to meet with business expectations, with the support of other members of the team, when required.
To be considered you will need to demonstrate a comprehensive understanding of and commitment to the company secretarial profession. You will ideally have started the CGI qualification or hold the Management and Corporate Governance MSc and will understand the basic principles around Irish company law, regulation and best practice. A proactive and flexible approach, upbeat manner and the ability to work in a team are essential.
Key Responsibilities
Preparing and filing of annual returns with the Companies Registration Office
Preparing board and shareholder packs and advising on procedures surrounding meetings under the Act
Maintaining and updating statutory registers and minute books
Assisting clients with their compliance requirements under the beneficial ownership regulations
Preparing and filing of documentation relating to company incorporations, change of name applications, business name registrations, re-registrations and all areas of post incorporation compliance
Attendance at board meetings and minute-taking
Assisting with the notarisation and apostilling of documentation
Liaising with and advising clients and colleagues in matters of company law and provision of support to the members the company secretarial department to complete their daily workflow
Drafting documents and resolutions following firm precedents
Manage registered office post
Assist with client onboarding including collating Anti-Money Laundering Documentation and checks
Assist with billing and following up payment of fees outstanding
Other administrative tasks and ad hoc projects as requested/ required from time to time

Knowledge, Skills and Experience
Recognised degree (preferably 2:1 or above) or equivalent qualification
Solid IT skills
Enjoys working as part of a team
Excellent verbal and written communication skills
Proactive and flexible approach to workload
Organised, ability to handle conflicting deadlines
Ability to remain calm under pressure
High level of accuracy, good attention to detail
Business and commercial awareness
