Internal Company Secretary (Funds/Asset Management)

About the Opportunity: Our client, a leading provider of governance, risk, and compliance services to the asset management industry, is seeking an experienced Company Secretary to work on the internal co-sec team. This role is perfect for a professional with experience in the funds industry and, ideally, management company experience. This could be the ideal next step in your career (Hybrid or Remote).
Key Responsibilities:
Governance and Compliance:
1. Ensure compliance with statutory and regulatory requirements.
2. Maintain and update statutory registers and records.
3. Monitor and implement changes in relevant legislation.
Board Support:
4. Prepare and circulate agendas, board packs, and minutes for board and committee meetings.
5. Advise the Board on governance matters.
6. Coordinate AGMs and EGMs.
Fund Administration:
7. Oversee regulatory filings for funds.
8. Ensure accurate and timely reporting to regulatory bodies.
9. Collaborate with fund managers, auditors, and legal advisors.
Corporate Governance:
10. Develop and implement corporate governance policies.
11. Provide training and guidance on governance matters.
12. Work on governance projects ad-hoc.
Management Company Support:
13. Assist in meeting regulatory and compliance obligations.
14. Support the establishment and maintenance of management company structures.
Qualifications and Experience:
15. Education: Degree in Law, Business, or a related field. Chartered Secretary qualification (ICSA) is highly desirable.
16. Experience: 2+ years co-sec experience in the financial services sector, with a focus on funds and management companies.
Skills:
17. Strong knowledge of corporate governance and compliance.
18. Excellent organizational and communication skills.
19. Proficiency in company secretarial software and MS Office Suite.
