Overview:
Ensures ongoing statutory, legal, and transactional/contractual obligations are fulfilled for Ireland and other jurisdiction registered companies. Manages, monitors, and actions governance and corporate services obligations of assigned portfolio of companies. Maintains system database entries and handles registered office and usual corporate administration duties as well as provides general administration support to higher management.
Primary Responsibilities:
1. Manage, monitor, and act upon statutory and transaction obligations of securitisation and structured finance deals and client groups.
2. Serve as the primary point of contact for portfolio of clients regarding company secretarial matters.
3. Develop, review, and manage Company Statutory Registers and update database records for critical dates, procedures, and contact details.
4. Work with external and internal parties to ensure fulfilment of statutory and transaction obligations of managed companies to ensure ongoing compliance.
5. Maintain internal trackers and spreadsheets including directorships lists for internal directors.
6. Provide training to team members on key company secretarial obligations and deadlines.
7. Review and ensure diligent inclusion of comments and correct information in company financial statements.
8. Prepare minutes, certificates, agreements, and other documentation required in our role as corporate administrator. Ensure compliance with transactional routines and obligations in terms of the activities of the companies.
9. Ensure effective completion of client transactions to include preparation of necessary corporate documents, attend to statutory filings, review of constitutional documents, and Summary Approval procedures.
10. Assist with drafting and review of annual reports in conjunction with special purpose vehicle accountants and advisors. Draft other company materials including announcements and statutory filings as appropriate.
11. Attend company meetings and meetings with external parties as required.
12. Provide registered office duties.
13. Maintain awareness of current industry issues. Complete wind-up and liquidation of companies.
14. Arrange for and supervise Share Trust compliance and Trust terminations within assigned portfolio.
15. May be required to provide supervision of junior colleagues for administrative tasks and review uncomplex minutes of meetings and stand-alone legal documentation.
16. May be required to prepare bespoke minutes without the use of a template.
17. Understand and adhere to the Company’s risk and regulatory standards, policies and controls in accordance with the Company’s Risk Appetite. Identify risk-related issues needing escalation to management.
18. Promote an environment that supports diversity and reflects the M&T Bank brand.
19. Maintain M&T internal control standards, including timely implementation of internal and external audit points together with any issues raised by external regulators as applicable.
20. Complete other related duties as assigned.
Scope of Responsibilities:
This position will serve as the senior Corporate Secretariat officer in Ireland.
Supervisory/Managerial Responsibilities:
No supervisory responsibilities.
Education and Experience Required:
21. Minimum of 6 years' higher education and/or work experience, including a minimum of 4 years' experience in Corporate Services and Structured Finance
22. Previous relevant experience in administration and management of Irish legal entities in a professional services firm.
23. Proficient in the use of personal computers including word processing, spreadsheet, presentations and industry-specific software
24. Comprehensive knowledge of Ireland company law
25. Strong client service skills

27. Ability to prioritize workload effectively and follow through tasks to completion
28. Strong verbal and written communication skills
29. Ability to work on own initiative
30. ICSA (Chartered Governance Institute UK and Ireland) Qualification
Education and Experience Preferred:
31. Minimum 3 years’ relevant experience in administration and management of Irish legal entities in a professional services firm.
