It’s an exciting time to join AXA XL in Dublin! Six years ago, we moved one of our core legal entities, XL Insurance Company S.E. (“XLICSE”/ “the Company”) to Dublin from the UK. The principal activity of the Company is the transaction of general (re)insurance business. The Company provides primarily commercial insurance, property, casualty, financial lines & specialty products to industrial, commercial & professional firms across its network of international branches & through fronting partners. The Company is a member of the AXA XL Division within the AXA Group. The Company provides the main insurance company platform to operate under the AXA XL brand from branches within Europe & Asia Pacific. It is regulated by the Central Bank of Ireland (“CBI”) & is designated by the CBI as a high impact firm.
We partner with mid-sized to multinational clients to take their business further, with more than 30 lines of business to offer solutions for existing & emerging risks. With 17 international branches of the Company and colleagues based in approximately 30 countries we are able to serve clients in more than 200 countries. The successful candidate will provide company secretarial & corporate support to the Company at its headquarters in Dublin. This is a good role for someone who wants to continue his/her company secretarial career, providing a wide range of experience & board level interaction. This individual will work directly alongside 3 other Legal & Company Secretarial team members.
What will your essential responsibilities include?
1. Supporting the Company Secretarial Team in the delivery of efficient, effective & high-quality company secretarial services to the Board of Directors & Board sub-committees of a regulated high impact insurance company with global operations.
2. Assisting in minute taking & preparation for Board & committee meetings.
3. Supporting the collection, collation, upload & distribution of Board & committee papers, using Diligent (company secretarial system), including liaising with all relevant stakeholders.
4. Assisting with the co-ordination of Board meetings & committee meetings & the development & management of a company secretarial reporting calendar.
5. Assisting with the maintenance of statutory registers, minute books & other corporate records.
6. Assisting on all corporate reporting requests from the Company & its branches/representative offices in locations all over the world, with the support of the Compliance team.
7. Being responsible for the certification, notarisation, and apostilling of Company documents for international use, which includes drafting certificates, liaising with notaries, and maintaining logs of notarised and apostilled documents.
8. Assisting with all Company administrative, Know Your Client & Anti Money laundering queries from the Company’s global branches.
9. Liaising with functions/units within the Company to ensure the efficient provision of information & keeping check on information flow.
10. Supporting all knowledge management processes to ensure that the Company’s/AXA’s corporate knowledge database is up to date.
11. Managing the delivery of all Board pack reporting to the Central Bank of Ireland.
12. Ensuring that all regulatory and statutory filings are completed on a timely basis.
13. Supporting the Company Secretarial Team in assisting Company projects to improve governance standards & the provision of company secretarial services across the AXA XL Division.
14. Managing, monitoring & responding to general Company Secretarial queries.
15. Assisting with corporate authority documentation including powers of attorney.
16. Assisting with the development of team operating procedures.
We’re looking for someone who has these skills & qualifications:
1. A relevant third level qualification and a member of the Chartered Governance Institute or a desire to study towards Chartered Governance Institute qualification.
2. Two/three years minimum experience within the company secretarial field or in a similar position.
3. Knowledge of Irish company law in general & particularly the Companies Act 2014 highly desirable.
4. Excellent verbal, written & collaborative communication & influencing skills.
5. Able to communicate effectively with internal & external stakeholders.
6. Proactive approach to problem-solving with good decision-making capability.
7. An ability to work independently & on own initiative whilst being part of a wider team.
8. Ability to prioritise conflicting needs & progress matters expeditiously.
9. Proactively follow through on projects to successful completion.
