Role Summary
An opportunity has arisen for a highly experienced Company Secretarial professional with extensive core technical Company Secretarial experience to join Flutter on a maternity contract. The role carries a high degree of responsibility and independence, involving liaising with senior Executives, Directors, and the Board. The role requires professional integrity to ensure Flutter adapts to regulatory requirements and remains legally compliant. The successful candidate will have 8+ years’ PQE, a bachelor’s degree, and be an Associate or Fellow of The Corporate Governance Institute.
Responsibilities
This role within the Group Secretariat function will consist of a broad range of responsibilities including, but not limited to:
1. Supporting the Deputy Company Secretary on external reporting, including the Annual Report process, Proxy Statement, and quarterly reporting process for 10-K and 10-Qs.
2. Coordinating various reports and content for inclusion in governance disclosures, leading all aspects of Directors’ half-year and year-end D&O questionnaires, confirmation statements, biographies, and other data required for disclosures.
3. Draft and review market announcements, collaborate with Group Finance and IR on results announcements, submit relevant filings promptly, issue market announcements via RNS and to the SEC.
4. Assisting the Reward team with managing different employee share schemes and working closely with external collaborators like Trustees.
5. Leading the development and execution of a programme of quarterly control testing for the Group Secretariat function, including identifying key risk areas and recommending improvements.
6. Coordinating the Group Secretariat obligations register, ensuring compliance with relevant regulatory, legislative, and governance codes, and liaising with Group Compliance on GRC tool reporting.
7. Managing the Group Secretariat Risk Register, ensuring all relevant risks are recorded and appropriate controls are implemented, and supporting compliance with Market Abuse Regimes.
8. Managing a small team, supporting their career development, providing technical training, managing workflows, and promoting high-quality delivery and efficiency of the Group Secretariat function.
9. Assisting the Deputy Company Secretary in meeting listing rules, working with important internal and external collaborators, and assisting with tasks like budgeting and strategy development.
10. Contributing to, and leading where relevant, Group Secretariat projects on broader aspects of corporate governance, corporate actions, restructurings, and regulation changes.
Requirements
* Bachelor's Degree or equivalent experience, Associate or Fellow of CGI.
* 8+ years PQE of relevant company secretarial experience, preferably within a quoted plc.
* Working knowledge of the Companies Act 2014, UK Listing Rules, Disclosure & Transparency Rules, and Market Abuse Rules; US listed experience is desirable.
* Excellent communication skills, both oral and written (English), with the ability to interact professionally with senior executives.
* Highly organised and able to prioritise effectively.
* Attention to detail.
* Proactive with a hands-on approach and a can-do attitude.
* Confident handling confidential information.
* Strong team ethic and willingness to support team members to meet deadlines.
* Computer literate (Word, Excel, PowerPoint, Access, etc.).
* Experience with company secretarial packages Diligent Entities, Diligent Boards, Insidertrack, and Workiva preferred.
* Understanding of SOX controls (desired).
