Assistant Transaction Manager, Capital Markets

The Position
An Assistant Manager. capital Markets, reports to the Senior Manager of the Governance & Transaction Services team and will have responsibility for the legal, corporate and administrative affairs relating to a portfolio of clients within the Capital Markets team. The Assistant Manager is responsible for leading a small team who will work together on their client portfolio.
Key Responsibilities:
1. Act as a relationship manager to some of our key clients, including investment banks, private equity firms and fund managers.
2. Work with the Governance and Transaction team on corporate governance and company secretarial matters and to assist in the managing, mitigating and monitoring of corporate governance risk.
3. Ensure all on-going statutory, legal and transactional obligations of a large portfolio of SPVs in structured finance and securitisation deals are met and ensure good corporate governance throughout.
4. Overview of the company secretarial functions in terms of the maintenance of statutory filing, CRO filings, incorporating new companies etc.
5. Maintain overview of ongoing client requests and assist team members in responding to these.
6. Provide training and development to team members in the areas of company secretarial, good corporate governance and in soft-skill areas.
7. Assess and provide input into the take-on of new clients, including ensuring AML is completed in accordance with CSC’s internal policies.
8. Assist in the coordination and oversight of pan European securitisation transactions from a governance, compliance and administrative perspective for the lifespan of the deal.
9. Assist the team in convening (including the preparation of board packs) and attending client board and committee meetings. Review draft minutes and action point lists from board and committee meetings drafted by the team in a timely manner.
10. Keep abreast of market trends and legislative changes impacting on the CSC Capital Markets team and its clients, including the Companies Act 2014.
11. Support the management team in maintaining, reviewing and revising internal controls and policies.
12. Work with the Governance and Transaction Services team towards process improvement/development and efficiencies.
13. Gaining familiarity with a diverse range of capital markets structures and products.
Key Competencies:
14. Minimum four years’ experience working in legal, financial services, company secretary or structured finance. Experience with a corporate services provider an advantage but not essential.
15. Knowledge of capital markets industry, in particular the provision of services to SPVs established for aviation leasing and financing transactions, structured finance and securitization transactions an advantage but not essential.
16. Strong management experience.
