Head of Company Secretariat
A 12-Month Contract Opportunity
We are seeking an experienced professional to temporarily lead the Company Secretariat function for a 12-month period, covering maternity leave. This role will report directly to the Chief Governance Officer and Company Secretary, and involve providing company secretarial services across the organisation's board, committees, subsidiaries, and governance forums.
The role also includes developing and overseeing corporate governance policies and procedures within the organisation.
Responsibilities
* Meeting Coordination: Organise and schedule meetings for the board, committees, and governance forums. Prepare meeting agendas, liaise with colleagues on agenda items, and ensure timely submission of documents. Compile and distribute board/committee meeting packs.
* Documentation and Compliance: Draft and circulate meeting minutes, ensuring accuracy and confidentiality. Maintain a register of action items and ensure follow-ups on responsibilities. Manage statutory records, filings, and compliance documentation.
* Governance Support: Advise on corporate governance policies and procedures. Oversee the management of the Diligent account.
Requirements
* Minimum of 3 years' experience in a Company Secretariat role, preferably in-house or within the public sector.
* Relevant third-level qualification in Corporate Governance or Law.
* Grad CG membership of the Chartered Governance Institute is a plus.
* Strong organisational, written, and oral communication skills.
* Ability to meet deadlines and manage multiple priorities.
* Excellent interpersonal skills with a proven track record of teamwork.

The estimated salary for this position is £60,000 - £80,000 per annum, depending on experience.
