About ROE Renaissance Reinsurance of Europe (“ROE”) is a Dublin based subsidiary of RenaissanceRe. Established in 1999, ROE was RenaissanceRe’s first operating subsidiary outside Bermuda. For many years ROE wrote a portfolio of property catastrophe reinsurance business focussing on European Clients. RenaissanceRe has identified an exciting opportunity for ROE to access credit insurance risk from client banks and financial institutions within the European Union and to that end ROE has recently been authorised by the Central Bank of Ireland (“CBI”) to write Credit Insurance and Property Reinsurance. ROE aims to build a carefully selected portfolio of credit insurance risk assumed from major European banks and financial institutions. ROE aims to grow the portfolio prudently and it expects the portfolio to remain limited in scale in the early years of the new authorisation. About the Position Reporting to the Chief Counsel – Europe and to the Board Directors of Renaissance Reinsurance of Europe (“ROE”), the VP, Compliance Officer is responsible for running the Compliance Function of the regulated entity. This is an exciting role for a talented and dynamic individual to cover a number of related functions which will provide an engaging and varied in-tray. The VP, Compliance Officer will have primary responsibility for the management and administration of ROE’s compliance, corporate governance and company secretarial activity. RenaissanceRe believes in close cooperation and collaboration across the RenaissanceRe group of companies and between departments. The VP, Compliance Officer will work closely with colleagues from across RenaissanceRe’s Legal, Regulatory and Compliance Department as well as colleagues from other departments both in Ireland and beyond. The role is based in the Dublin office and may require travel to other RenRe offices within Europe, and occasional travel to continental United States and to Bermuda. Key Relationships Reports to: Chief Counsel – Europe (based in London office) Key Stakeholders: Managing Director and Board of Directors of ROE, Head of Credit - Europe Key Partners: Underwriting, Legal & Compliance, Finance Key Responsibilities Compliance Ensure that ROE adequately fulfils its compliance obligations and support senior managers in promoting our culture to pursue adherence to the highest standards of integrity and fair dealing. Advise the ROE Board of Directors on relevant compliance and regulatory developments and requirements and provide assurance to the ROE Board and its relevant sub-committees that ROE is complying with relevant policies, procedures, laws, byelaws, and regulatory requirements. Act as a point of contact and dependable channel of communication for the Company’s interactions with regulators. Oversee the provision of compliance support obtained by ROE from other RenaissanceRe companies. Oversee ROE’s regular financial crime risk assessment and screening of in-force risks. Maintain, update and support the adherence to ROE’s policies and procedures. Ensure the timely completion, execution and submission to the CBI and other regulatory authorities of all, returns and other documentation by the deadlines imposed. Support the monitoring and oversight of ROE’s outsourcing arrangements. In collaboration with colleagues from the broader Legal, Regulatory and Compliance department across the RenaissanceRe group: Produce and execute ROE’s annual risk-based Compliance Plan; Ensure staff receive the appropriate level of compliance training in order to understand their responsibilities; Oversee ROE’s regular financial crime risk assessment and screening of in-force risks. Corporate Governance Ensure that ROE operates in conformance with relevant Corporate Governance Requirements. Maintain ROE’s Management Responsibilities Map and ensure this is regularly updated and approved by the ROE Board. Assist the Board of Directors and senior staff in maintaining compliance with all SEAR requirements including the maintenance of ROE’s Fitness and Propriety Register and completion of ROE’s PCF/CF Annual Certification process. Assist the Board of Directors and senior staff in the management of any conflicts of interest. Maintain and ensure adherence to ROE’s Governance Timetable. Support the Annual Board Effectiveness Review Process. Company Secretarial Provide oversight in respect of the scheduling of Board and Committee meetings, the distribution of Board and Committee papers and the maintenance of corporate records. Minute Committee and Board meetings of ROE and its affiliate Renaissance Services of Europe (“RSE”). Co-ordinating with external company secretarial provider for submission of annual returns and Beneficial Ownership Register. Co-ordination of Annual General Meeting of ROE and written resolution in place of AGM for RSE. Co-ordinate with Finance Team on RSE's Directors' Compliance Statement including required in-year review obligations. Ensure ROE and RSE remain up-to-date and compliant with all company filings with the CRO. Candidate Qualifications: Relevant third level qualification in Law, Finance, Business or related field/additional professional qualification in Compliance. Previous experience of holding a PCF designation is advantageous or with a willingness to step up for first time Strong knowledge of Central Bank requirements for Insurance Undertakings. Strong and relevant experience working within a Compliance role in an Insurer/Reinsurer or advising regulated clients Must be flexible and able to work in a team with excellent collaborative engagement with colleagues. Solution-focused and commercially astute. Strong attention to detail. Strong computer skills are essential, particularly Microsoft Excel, Outlook, Word and PowerPoint.
