The Opportunity
An excellent opportunity has arisen for a person with company secretarial experience to join the company secretarial team, working closely with the senior management team and the company secretary. This role will be in-house initially but has potential to become client-facing in due course.
This is a broad, challenging, rewarding and highly visible role tasked with ensuring that the corporate governance environment for the Management Company maintains its effectiveness and provides an important link supporting the board of directors in discharging their duties and responsibilities.
The Position
1. Assist with the management of a sophisticated corporate governance structure for the Bridge group of companies, running the board and executive committees for the regulated Management Company and organizing meetings cycles for each committee and the boards and ensuring the internal corporate governance structure is maintained. This structure comprises the Board, three Board committees, several sub committees and an executive committee. Corporate governance support and company secretarial services also provided to the other non-regulated entities in Ireland.
2. Establish and maintain excellent relationships with the Directors of the Board and the Chairs of the Committees.
3. Schedule board and committee meetings, circulating invites and preparing detailed agendas for meetings to include key matters for discussion.
4. Preparation and circulation of board packs using Board Intelligence and attendance at meetings.
5. Preparation of minutes for approval by Directors/Chair and following up on action points arising from meetings.
6. Preparation of ordinary and special resolutions for approval by the Board for matters such as approval of accounts, appointment of a new director, and any other governance, regulatory, or client needs as requested.
7. Helps maintain statutory registers, minute books, and corporate information for entities using Diligent Entities.
8. Responsible for preparation and submission of statutory filings within required timescales.
9. Provision of corporate documentation in relation to matters like AML and CDD as requested.
10. Acting as a conduit for communications to the Boards and arranging for the approval and execution of legal agreements on behalf of the Board.
11. Arranging for the legalisation of documents as needed.
The Individual
1. Working knowledge of the Companies Act 2014.
2. 6 months+ company secretarial experience, ideally within a financial services/law firm.
3. Strong minute-taking and organisational skills is required.
4. A professional manner and strong interpersonal skills.
5. Knowledge of Diligent or another entity management system is desirable.
6. Knowledge of Board Intelligence or other board portal software is highly desirable.
7. Flexibility to deal with delivery deadlines.
8. Comfort in dealing with executive management and boards of directors.
9. Knowledge of funds preferable but not essential.
10. Flexible and able to adapt to a fast-paced environment.
11. Excellent IT skills including the use of Microsoft Word, Excel, PowerPoint and Outlook.
