Job Description This role will support the Governance Function in managing Subsidiary entity Boards and Committees, facilitating internal and Group reporting, and offering ongoing governance advice to the business. The successful candidate will report to the Executive Director of Governance. The responsibilities include but are not limited to: Co-ordinate and manage Board and Committee meetings within the team to include minutes, recording of actions and liaising with colleagues on any output matters. Prepare memos, proposals and documents for Board/Committee review and consideration. Management and maintenance of corporate records and documents. Responsibility and oversight for subsidiary filing requirements with local Registrars and Regulators. Co-ordinate and review periodic reporting to Head Office and internal reporting to Boards and Committees. Collaborate with stakeholders within the business such as Risk, Compliance, Legal, Finance and Planning on matters that relate to Subsidiary entities and Committees. Provide comprehensive legal and administrative assistance and guidance. Advise on corporate governance matters and best practice as well as updates on any changes in regulations and legislation. Provide ongoing training and development of staff. Ad hoc projects as and when they arise. This role is a Controlled Function (CF) role under the CBI Fitness & Probity regime.
