Established in 1998, Blakestown Mountview Youth Initiative (BMYI) is a not-for-profit registered charity which is legally constituted as a Company Limited under Guarantee (CLG). Its aim is to support young people and their families in the Dublin 15 area in reaching their full potential. The project adopts a three-strand approach in providing youth, family, and educational support through evidence-based programmes to support the well-being and development of young people and their families.
BMYI is funded by the HSE, Blanchardstown Local Drug and Alcohol Task Force (BLDATF), and TUSLA Child and Family Agency, and also conducts independent fundraising.
The Role:
BMYI is now seeking to expand its Board of Directors and to recruit a director with relevant Chair experience in a similar organization. All board roles are voluntary and expectations are as follows:
1. Board members are required to fulfil all legal requirements as Company Directors.
2. You will commit to regularly attending Board meetings which are held 10 times a year plus AGM and may be of in-person (Dublin 15) or remote.
3. You may be required to participate actively in committees and will establish and maintain effective relationships with other Board Members.
4. You will freely contribute your expertise and experience.
5. You will be required to liaise closely with BMYI’s manager.
The successful candidate will ideally be located in the West Dublin Area but this is not essential.
Desired Skills/Experience:
The board is now seeking candidates for the role of Company Secretary to replace the current Secretary whose tenure has expired. The duties include:
1. Administration and compliance: Ensuring that relevant rules and regulations of the Companies Act and the Charities Regulator are complied with.
2. Ensuring that all relevant statutory returns and information required by the Charities Regulator (e.g., annual reports, changes to the charity’s details and/or trustees’ details) are provided in a timely manner.
3. Ensuring that decisions and actions of the board of charity trustees are accurately recorded and implemented.
4. Ensuring that any correspondence for the Directors is brought to the attention of the board.
5. Preparing for board meetings: Agreeing the timetable of board and sub-committee meetings and providing advance notice to Trustees as required, Circulating board papers/packs and agendas in advance of meetings.
6. Taking the minutes at board meetings and ensuring that minutes are stored safely and are accessible if required.
7. Setting up and running any Annual General Meeting (AGM) or Extraordinary General Meetings (EGMs) where required.
Whilst no formal qualifications are required, some of the following qualities and skills would be a plus:
1. Knowledge of company and charity law.
2. Understanding the role and responsibilities of the Board.
3. Ability to play a strategic role to successfully effect change and meet the objectives of the company.
4. Experience of Governance in the voluntary & community sector.
5. Knowledge of the BoardX governance platform.
6. Willingness to undertake training/education in Charity Law and Governance.
7. Previous Board Secretary experience is not a requirement but would be an advantage.
