Meta seeks an ambitious and highly organized Company Secretarial Assistant to join the International Governance Team, based in Dublin. Reporting to the Director and Associate General Counsel - Global Corporate, you will be very comfortable working on your own initiative, and as part of a global team, to deliver highly efficient company secretarial services and governance support to a diverse portfolio of legal entities. The ideal candidate will be a qualified Chartered Company Secretary with at least 2 years of professional experience, a keen interest in using technology to improve governance practices and a desire to advance their career in a fast-paced, global environment.
Company Secretarial Assistant Responsibilities
1. Assist with the preparation of corporate filings, legal documents and board papers with a sense of urgency and meticulous attention to detail.
2. Ensure timely filing of statutory returns with the relevant local authorities in relation to change of directors, registered office changes etc. and the maintenance of statutory records, including shareholding registers, minute books and other compliance-related documents in compliance with the applicable corporate laws.
3. Coordinate with internal and external stakeholders, including auditors, legal advisors, and Government agencies, ensuring smooth communication and timely resolution of governance matters.
4. Assist with handling corporate secretarial matters in relation to entity restructuring, capital contributions, dissolutions etc.
5. Provide support within the Global Corporate team on corporate governance matters, ensuring compliance with Irish, UK, and EU regulations.
6. Prepare and manage Board and Committee meetings, including scheduling, agendas, minutes, and post-meeting actions.
7. Assist in the implementation of corporate governance policies and procedures, recommending improvements where appropriate.
Minimum Qualifications
1. 2 years of professional experience in a company secretarial or Governance role, Qualified Chartered Company Secretary (ICSA or equivalent). Part Qualified candidates will only be considered where they have more than 5 years relevant experience.
2. Working knowledge and understanding of company law, governance frameworks and company secretarial requirements.
3. Has a proven track record of managing multiple tasks simultaneously and efficiently.
4. Effective organizational, time management, and communication skills.
5. Capable of working autonomously and collaborating within a global, cross-functional team.
6. High level of professionalism, integrity, and discretion, particularly when dealing with confidential information.
7. Proactive to take initiative in identifying and addressing process improvements.
Preferred Qualifications
1. Ideally will have experience within a multinational, tech, or other dynamic work environment.
2. Proficiency in using Diligent or similar legal entity management databases.
3. Experience leveraging technology to streamline governance processes, enhancing efficiency and ensuring best practices in reporting and documentation.
4. Experience in the use of legal billing, case management systems and other reporting tools.
5. A keen interest in developing professionally and pursuing a long-term career in corporate governance.
