About Fineco Asset Management DAC
Fineco Asset Management DAC (‘Fineco AM’) is the Dublin based asset management company and subsidiary of FinecoBank S.p.A. (“FinecoBank”). FinecoBank (“Fineco”) is a leading European bank with a 25-year history and a fully digital DNA with a branchless approach since the start. Fineco is one of the banks with the widest products range available. Fineco have developed a truly one-stop-solution which includes trading, investment and payment services. Fineco have developed a 100% proprietary platform for trading and investment which covers all customer needs from trading listed and OTC product to investment product such as mutual funds and ETFs.
Fineco AM, which started its operations in May 2018, is authorized by the Central Bank of Ireland as a UCITS Management Company and as an AIFM with additional MiFID permissions (since September 2024) and it currently has more than €32bn in assets under management. Fineco AM is a competence centre- specialised in the management of fund-of-funds, single strategy funds, as well as Structured Solutions Funds. In addition to portfolio management activities, all key supporting and controlling functions, such as Compliance, Risk, Finance and Legal, are also performed locally. Fineco AM started with 5 employees and has grown rapidly over the past 6 years with a headcount currently sitting above 80 FTEs and growing quickly (half of our headcount was hired during the pandemic period). Currently Fineco AM manages 3 UCITS Umbrella Funds – in Luxembourg (1 fund) and in Ireland (2 funds).
The Opportunity
We are looking to recruit a (Junior) Legal Counsel to join our Legal Team. This role will report into the Head of Legal.
Main Responsibilities:
Legislation and regulation – Follow-up, analysis and implementation of new legislation or regulatory requirements impacting Fineco AM and the funds under management (e.g. UCITS, AIFMD, MiFID II, EMIR, SFDR, CP86, Outsourcing Requirements etc).
Fund approvals/amendments – Complete Central Bank and CSSF applications for new sub-funds and manage all post authorisation fund amendments with the Central Bank or the CSSF. Generally, assist with Fineco AM’s product development right from idea stage through to fully managing the new product approval process with the regulator and internal and external stakeholders.
Fund Documentation – Draft and maintain fund and management company documents (e.g. Prospectus, Supplements, KIIDs and Business Plan) and other ancillary documents related to the investment funds under management.
Contracts – Draft and review a range of commercial contracts impacting the management company and the funds under management (such as IMAs with third party managers, investment advisory agreements, licensing agreements etc.);
Transactional Documentation: Draft and review fund transactional documentation such as ISDA Agreements, transaction confirmations, ISDA amendment agreements, give-up agreements etc.
Legal advice – Provide practical, business-oriented legal advice on issues that arise for Fineco AM in the context of its Irish and Luxembourg fund umbrellas and in respect of Fineco AM’s own management company governance requirements.
Projects – Participation in ad-hoc regulatory and business projects.
Board and Fineco AM committee preparation – Assist internal stakeholders and the Company Secretary in respect of preparing and organising quarterly board meetings and product committee meetings;
Represent Fineco AM – Represent Fineco AM at external conferences, industry events or fund association events.
Key Requirements:
Qualified Irish Solicitor or a solicitor with equivalent qualification in another jurisdiction with 3 years’ post qualification experience (gained working in Ireland specifically).
Previous experience in investment funds is essential, with a demonstratable background in the understanding of investment strategies and subsequent drafting of fund product documentation.
Highly motivated, pragmatic, solutions-oriented and a real business partner.
Ability to conduct a thorough legal analysis of complex topics and translate this analysis into practical and succinct legal advice.
Commitment to high standards and forensic attention detail.
Strong communication skills (oral and written) and ability to liaise with top management and other stakeholders.
Independent worker, with the organisational and task management skills necessary to manage a large volume of tasks and meet deadlines.
Ability to effectively prioritise work by understanding competing priorities and make appropriate judgments regarding relative importance.
Team player offers to help colleagues and share work.
Familiar with MS-applications (Outlook, Word, Excel, PowerPoint).
