About The Role
We are seeking an Assistant Company Secretary to join the Davy Company Secretary in the Company Secretary office ("CoSec" Office). The Davy Company Secretary reports directly to the Chief Executive Officer.
The standalone CoSec Office in Davy was established in 2021 and since then has introduced and developed corporate governance practices across Davy Group. Working with the Davy Company Secretary, the successful role holder will assist in further developing and embedding these practices, ensuring they are fit for purpose and scale, while managing a standalone remit of subsidiary entities and committees (specific remit to be agreed depending on prior experience).

In The Role, The Successful Candidate Will
Company Secretarial Practice
1. Provide support and assistance to the Davy Group on the day-to-day company secretarial and corporate governance matters and assist in managing, mitigating and monitoring corporate governance risk.
2. Manage all statutory/filing requirements and related internal processes, including annual returns filings and registrations, and ensure annual general meetings are held as appropriate.
3. Manage the maintenance of all statutory records and company registers for the company and all subsidiaries.
4. Ensure compliance of corporate governance and administration of Davy entities with all applicable statutory and regulatory requirements, governance standards and internal policies and procedures.
Board and Committee related matters
1. Support the Davy Company Secretary in providing corporate governance advice and support to the Davy Board, Board Committees and Executive Committee.
2. Depending on the experience of the candidate, manage one or more Executive and/or Board Committees to deliver end-to-end support to Committee Chair.
3. Implement effective Board and Committee processes and controls to ensure an appropriate and professional administrative service is delivered.
4. Prepare board packs, organize, attend and minute Board and Committee meetings.
5. Maintain and manage a schedule of agenda items and actions for Board and Committee meetings, following up with responsible executives.
Other governance matters
1. Support the implementation and maintenance of board and sub-committee internal governance procedures, including annual tasks.
2. Support the development of induction and training programmes for Non-Executive Directors and senior executives.
3. Work with the Davy Company Secretary to organize ways for Board members to engage with Davy employees.
4. Work with the Davy Company Secretary to develop governance practices at an executive level across Davy.
5. Lead on anti-money laundering and know your client queries which arise from the business.
6. Support and deputize the Davy Company Secretary as required.
Requirements
About you
1. Experience in corporate governance practices.
2. Strong preference for experience in the implementation and maintenance of company secretarial and corporate governance policies and procedures.
3. Preference for experience in the financial services industry, but not an absolute requirement.
4. Well-developed communication and inter-personal skills, with the ability to interact with senior members of a company.
5. Highly organized, motivated team player who can take initiative and enjoys a varied role.
