About the Role
We are seeking an experienced Company Secretary or Governance Professional to join our Entity Governance and Compliance team. This is a fantastic opportunity to work with a diverse portfolio of clients across multiple industries in a dynamic and supportive environment.
The Role
* Providing high-quality outsourced company secretarial and governance services, leveraging state-of-the-art tools such as Diligent software and bespoke applications.
* Ensuring compliance, supporting governance initiatives, and building lasting client relationships.
Key Responsibilities:
1. Organizing, attending, and preparing minutes for directors' and shareholders' meetings.
2. Drafting resolutions and documentation for corporate transactions.
3. Supporting restructuring projects for clients.
4. Assisting in governance service delivery and maintaining statutory registers.
5. Preparing and filing Companies Registration Office forms and ensuring timely compliance.
6. Liaising with regulatory authorities on corporate administrative matters.
7. Providing share scheme administration support and ensuring governance best practices.
8. Developing strong client relationships and offering advice on company law issues.
9. Managing billing processes and ensuring compliance with AML/KYC requirements.
10. Maintaining beneficial ownership registers and completing related filings.
11. Collaborating with internal teams on business development and client projects.
About You
The ideal candidate will have strong technical skills, an eye for detail, and a commitment to delivering exceptional client service. You will be:
* Qualified or part-qualified with the Chartered Governance Institute (CGI).
* Experienced, with at least 1 year in a similar role, whether in a professional services firm, legal practice, or in-house governance role.
* An excellent communicator with strong interpersonal skills.
* Highly organized, diligent, and detail-oriented.
* Proactive, solutions-focused, and able to work independently or as part of a team.

Requirements
* A primary degree in Business, Law, or Accounting.
* CGI qualification or currently pursuing CGI exams.
* Knowledge of governance tools like Diligent is advantageous.
* Strong organizational and project management skills.
