Job Description
The significant and rapid growth of Irish cricket has led to a commensurate increase in both statutory and Government compliance, requiring legal advice in various areas such as company, commercial, employment, or property related matters.
Key Responsibilities
* Maintaining the statutory registers of the company, including the register of members, directors, and secretaries, as well as their interests.
* Organising and giving notice of general meetings and directors' meetings, ensuring compliance with articles and relevant instructions.
* Attending and taking minutes of general meetings, board meetings, and specified sub-committee meetings, archiving minutes and related papers properly.
* Ensuring the company complies with disclosure obligations, such as website information and printed documentation.
* Certifying documents for presentation to third parties, providing guidance on corporate governance matters, and liaising with directors, members, and employees.
* Providing support to newly-appointed directors, including induction arrangements and provision of necessary documentation.
Governance Duties
* Disseminating quarterly submissions under the Irish Registration of Lobbying Act regarding engagement with ministers and public officials.
* Overseeing preparation for and administration of meetings of the Nominations Committee and Governance Committee.
* Maintaining attendance records at board meetings and other sub-committees.
* Preparing for and administering the Annual General Meeting, ensuring all members are notified and have necessary information.
Legal Duties
* Drafting, reviewing, and negotiating contracts and agreements.
* Advising on regulatory compliance and corporate governance.
* Supporting departments with legal guidance on operational issues.
Requirements
Ideal candidate will have:
* Minimum 3 years PQE with experience in Irish corporate governance or company secretarial work.
* Good knowledge of Irish Companies Act and related legislation.
* Excellent organisational skills and attention to detail.
* Ability to manage multiple tasks and priorities effectively.
* Proficiency in Microsoft Office Suite and document management software.
* Discretion and integrity when handling sensitive information.
* Experience working in a sporting organisation an advantage.
