Purpose
As part of Global Procurement, the Contract Management Associate partners with Category Owners to assist with the drafting, review and negotiation of contracts to meet our business customers' needs while ensuring compliance with Lilly policies. Further, the Contract Management Associate maintains data quality within the contract management application to enable Procurement to have further competitive advantage and rationalization of its category strategies.
Key Responsibilities
* Contract Drafting and Review:
o Manage the contract process including drafting, negotiation and maintenance of master agreements, single project agreements, amendments, and other agreements to meet timelines and elevate productivity.
o Partner with the Category Owner/Sourcing Lead to understand contractual objective, participate in hand-off meetings, and incorporate commercial terms as provided by the Category Owner/Sourcing Lead.
o Manage the contract lifecycle to meet timelines; keep the Category Owner/Sourcing Lead informed of deadlines or potential impediments.
o Review revised contract language for all contracts, addenda, and other contract forms and recommend contract modifications as needed.
o Approve or reject requests for deviations from contract specifications within scope of responsibilities and escalate deviations as needed.
o Partner with Business Owner to draft Standard Contractual Clause exhibit as needed and obtain the Data Transfer Impact Assessment verification from the Business Owner and provide to Privacy.
o Collaborate with the third-party risk management team to ensure contracts incorporate terms based on risk assessment outputs.
o Propose contracting playbook improvements to speed contract drafting and review practices.
o Collaborate with internal and external legal counsel when appropriate.
o Provide training on contract activities as needed.
* Contract Technology:
o Create Contract Workspaces, save draft agreements, update metadata fields, relate contract families, initiate workflows, and complete tasks.
o Collaborate with assigned functional area to improve and maintain data quality within the Procurement Contracting System.
o Migrate Agreements into the Procurement Contracting Systems as applicable.
o Ensure contract details are uploaded into third-party management risk application as applicable.
o Support implementation of new contract technology processes and strategies.
o Regularly communicate with peers and procurement end users to facilitate knowledge and information sharing to improve contract technology.
Basic Requirements
* Bachelor's degree.
* Minimum of 2 years' work experience that clearly demonstrates contract drafting and/or legal experience.
Additional Skills/Experiences
* Proficient in drafting contracts in a fast-paced and highly regulated environment.
* Demonstrated strong written, verbal, presentation, and communication skills.
* Demonstrated attention to detail.
* Legal professional degree (e.g. paralegal certificate).
* Demonstrated ability to collaborate with global cross-functional partners effectively.
* Previous experience with contracting platforms.
* Familiar with regulations such as GDPR, Privacy, Information Security, and Anti-Corruption.
* Demonstrated ability to anticipate and work to avoid problems.
* Demonstrated ability to effectively communicate and resolve complex issues.
* Demonstrated ability to assess and manage risk in a highly complex environment.
* Demonstrated effective teamwork skills with the ability to actively participate on cross-functional teams.
* Previous experience with supplier risk management platforms.
