About The Role
We are seeking an Assistant Company Secretary to join the Davy Company Secretary in the Company Secretary office ("CoSec" Office). The Davy Company Secretary reports directly to the Chief Executive Officer.
The standalone CoSec Office in Davy was established in 2021 and since then has introduced and developed corporate governance practices across Davy Group. Working with the Davy Company Secretary, the successful role holder will assist in further developing and embedding these practices, ensuring they are fit for purpose and scale, while managing a standalone remit of subsidiary entities and committees (specific remit to be agreed depending on prior experience).
This a great opportunity for an individual who is familiar with corporate governance and is ready to develop their skills further to a senior management level.
In The Role, The Successful Candidate Will
1. Company Secretarial Practice
o Provide support and assistance to the Davy Group on the day-to-day company secretarial and corporate governance matters and to assist in the managing, mitigating and monitoring of corporate governance risk.
o Manage all statutory/filing requirements and related internal processes to include annual matters such as ensuring all annual returns filings and registrations are accurate and made on time and annual general meetings are held as appropriate, and adhoc matters such as the Register of Beneficial Ownership, capital contributions, director changes etc.
o Manage the maintenance of all statutory records and company registers for the company and all subsidiaries.
o Ensure that the corporate governance and administration of Davy entities comply with all applicable statutory and regulatory requirements, governance standards and internal policies and procedures.
2. Board and Committee related matters
o Support the Davy Company Secretary in providing corporate governance advice and support to the Davy Board, Board Committees and Executive Committee. Davy Board cycles operate on a quarterly basis (with some adhoc) and Executive on a monthly basis.
o Depend on the experience of the candidate, management of one or more Executive and or Board Committees to deliver end to end support to Committee Chair.
o Implement effective Board and Committee processes and controls to ensure an appropriate and professional administrative service is delivered in support of the Board directors and in response to regulatory and industry changes.
o Prepare board packs, organizing, attending and minuting Board and Committee meetings.
o Maintain and managing a schedule of agenda items and actions in respect of Board and Committee meetings and following up with responsible executives.
3. Other governance matters
o Support the implementation and maintenance of board and sub-committee internal governance procedures including annual tasks, for example, fitness and probity confirmations, bi-annual director confirmation packs the organisation of a board effectiveness review, skills and time assessments, development of work programmes and ensuring the regular review of Terms of References.
o Support on the development of induction and training programmes for Non-Executive Directors and senior executives.
o Work with the Davy Company Secretary to organise ways in which the Board members can meet and engage with Davy employees to ensure fulsome oversight of culture and the delivery of ‘tone from the top'.
o Work with the Davy Company Secretary to develop governance practices at an executive level across Davy.
o Lead on anti-money laundering and know your client queries which arise from the business from time to time.
o Support and deputising the Davy Company Secretary as required from time to time.
Requirements
About you
We are looking for somebody who has the following background and skills:
* Experience in corporate governance practices.
* A strong preference for experience in the implementation and maintenance of company secretarial and corporate governance policies and procedures to best practice standards for regulated entities.
* A strong preference for experience to be from the financial services industry, but this is not an absolute requirement for the right candidate.
* Well-developed communication, inter-personal skills, and an ability to interact with the most senior members of a company including Board members, Executive Committee (ExCo) and Heads of Departments.
* You will be a highly organised, motivated team player who can take initiative and enjoys a varied role with a willingness to learn and take on new tasks as part of a small team.
