Position: Company Secretary
Location: Dublin
Our client is seeking a proactive and detail-oriented individual to join their team as a Company Secretary. The successful candidate will play a vital role in ensuring compliance with legal and regulatory requirements while providing efficient support to the board of directors and senior management. The ideal candidate will possess strong organisational skills, exceptional attention to detail, and a solid understanding of corporate governance principles.
Key Responsibilities:
1. Coordinate and attend board meetings, preparing agendas, recording minutes, and ensuring timely distribution of relevant documentation.
2. Manage a varied client portfolio, handling legal, company secretarial compliance, and administrative tasks with precision and professionalism.
3. Monitor changes in relevant legislation and regulations, advising management on compliance requirements and best practices.
4. Facilitate the smooth onboarding of new clients, adhering to stringent procedures.
5. Oversee a range of corporate transactions including incorporations, restructurings, voluntary strike offs, liquidations, and restorations.
6. Prepare and file necessary notifications with regulatory bodies such as the CRO, RBO, and CBI, always ensuring compliance.
7. Conduct thorough legal and non-legal research on behalf of clients and colleagues, providing valuable insights and support.
Requirements:
8. Qualified Chartered Secretary (ICSA) essential
9. Min 2 years proven experience in a company secretarial role, preferably within a regulated environment.
10. Sound knowledge of company law, corporate governance principles, and regulatory requirements.
11. Experience with regulated funds is advantageous.
12. Excellent communication skills, both written and verbal, with the ability to interact confidently with senior management and external stakeholders.
13. Strong organisational and time management skills, with the ability to prioritise tasks and meet deadlines.
14. Attention to detail and accuracy in document preparation and record-keeping.
15. Ability to work independently as well as part of a team, always demonstrating professionalism and integrity.
