A Brief Overview
The role of the Business Governance Specialist supports the management, governance and compliance of RGAI and reports into the General Manager.
RGA is a matrix organization. The operating model for RGAI includes a core team within the Head office in Dublin and the branch network. In addition, RGAI leverages the skills and capabilities of internal RGA service providers, as well as external third-party services providers.
What you will do
* Manage processes for the Fitness and Probity, including certifications under the Individual Accountability Framework of the CBI.
* Support the General Manager in conducting reviews of Outsourcing Service Providers, and update and maintenance of the Outsourcing Register.
* Liaise with legal, technology and operational resilience teams to support efforts associated with Digital Operational Resilience Act (“DORA”) and the maintenance of the Register of Information on ICT Third Parties.
* Manage the organization of Board and Committee meetings and collation of material for timely delivery of papers.
* Management and maintenance of corporate records and documents for the entity.
* Update and maintain supporting documentation on internal records regarding Board Delegated Authorities, Policy Reviews, Use of the Company Seal, Pledge Register, Third Party Service Providers.
* Main point of contact for external law firms providing corporate secretarial services to RGAI and coordination of timely filings with Company Registration Office Ireland.
* Responsibility and oversight for entity’s filing requirements with local Registrars and Regulators in branch countries through collaboration with external counsel.
* Support the General Manager with ad hoc projects as required.
Qualifications
* Qualified or near qualified Corporate Governance Professional, is an advantage
* Degree in business, law or finance (or other related field)
* Experience and knowledge of good corporate governance and the Irish regulatory environment
* Ability to work within a matrix environment and cross functionality
* Excellent organization skills and a high level of attention to detail
* Strong ability to multi-task and problem solve
