Job Summary: We are seeking a highly skilled and experienced Senior Corporate Paralegal to join our EMEA & ANZ legal team.
The ideal candidate will have a strong background in corporate law, with extensive knowledge of the legal frameworks in both Ireland and the UK.
This role requires a proactive individual who can manage complex legal tasks, support corporate transactions, and ensure compliance with applicable laws and regulations.
Responsibilities: Corporate Governance: Assist in the preparation and maintenance of corporate records, including board minutes, resolutions, and other governance documents for our portfolio of legal entities in Ireland and in the UK.
For the rest of the of the EMEA, coordinate the preparation and maintenance of corporate records with various local internal and external stakeholders.
Legal Compliance: Ensure compliance with corporate laws and regulations in Ireland and the UK, including filing annual returns and other statutory documents with CRO and Company House.
Transaction Support: Provide support for mergers, acquisitions, and other corporate transactions, including due diligence, document preparation, and closing and integration processes.
Research and Analysis: Conduct legal research on corporate law issues and provide analysis and recommendations to the EMEA & ANZ legal team.
Liaison: Act as a liaison between the company and external legal counsel, regulatory bodies, and other internal stakeholders (Tax, Treasury, Finance, Accounting) Training and Development: Mentor and train non-legal staff on corporate law matters and best practices.
Qualifications: Degree in law, paralegal studies, business management or similar field required Experience: Minimum of 3/4 years of experience as a corporate paralegal, with significant exposure to corporate law in Ireland and the UK.
Skills: Strong understanding of corporate governance and compliance requirements.
Excellent drafting and negotiation skills.
Strong attention to detail.
Proficient in legal research and analysis.
Experience with UBO / Know Your Client ("KYC") requests to serve as a resource and contact Strong organizational and project management skills.
Ability to work independently and as part of a team.
Excellent communication and interpersonal skills.
Manage tight deadlines in fast-paced environment.
Assist in document management.
Must be organized and efficient Preferred Qualifications: Experience in a corporate legal department or law firm.
Familiarity with legal technology and software for document management and legal research.
Ability to handle confidential information with discretion.
