EXECUTIVE SUMMARY - ASSOCIATE GENERAL COUNSEL, SECURITIES AND FINANCE
Overview: The Associate General Counsel, Securities and Finance, will be based in the Company’s headquarters in Dublin, Ireland, and will report directly to the Executive Vice President & Group General Counsel. The AGC, Securities and Finance, will ensure compliance with US Securities Laws, New York Stock Exchange listing requirements and US stakeholder expectations, advise on corporate governance issues and capital markets transactions, and support mergers and acquisitions. The role will also provide ample opportunities to gain expertise in Irish Company Law and London Stock Exchange listing requirements and managing the corporate structures of a global company. Given the nature of the role, there will be a strong working relationship with the Company’s Group Secretary, Treasury, Tax, Investor Relations, Communications and Sustainability functions (“Group Functions”). As part of a global legal function, the AGC, Securities and Finance will also collaborate with legal colleagues and external counsel around the world to ensure strong corporate governance and support strategic projects and transactions, including acquisitions, divestitures, joint ventures, and equity investments. The successful candidate will have opportunities to interact with key decision-makers across the enterprise, with the potential to influence and advise on strategic initiatives and projects as well as legal and compliance matters.

Experience: The successful candidate will have at least 15+ years’ broad-based legal experience in dealing with sophisticated legal issues in a business setting. At least a portion of this background should be with a high-quality law firm, with an emphasis on corporate and securities matters, including regulatory and compliance matters arising under federal and international securities laws, governance issues, and corporate finance matters including debt and equity offerings. In addition, public company in-house experience is required. Experience working on international mergers and acquisitions is strongly preferred.
Location/Relocation: Dublin, Ireland. This is an international search which includes relocation.
Travel: International travel is expected.
Return to Work: Primarily in office.
Compensation: Commensurate with experience. The package includes base salary, target bonus, participation in the company’s long term incentive plan, and benefits.
