As long-term Board members’ terms come to an end, we are seeking passionate individuals to join our dynamic Board of Directors to deliver upon our strategic priorities and achieve our vision of an Ireland where business and the arts working in partnership inspire and shape the world around us.
Specifically, we are looking for a Company Secretary.

Key Responsibilities (for this role in a CLG)
* The company secretary, together with one or more directors, must: complete, sign and send the company’s annual return to the CRO;
* Company secretaries certify that the financial statements attached to the annual return are true copies of the originals;
* Oversees the preparation of an accurate statement of the company’s assets and liabilities (what it owns and what it owes) if the company goes into liquidation or receivership.
* Maintain the charity’s constitution or governing documents. This requires familiarity with the legal responsibilities of charities under the Charities Act 2009 in Ireland and the charity’s internal governance rules The secretary also ideally provides guidance to the board on company law and other regulatory matters.
* Additional governance duties: Assisting with the management of the charity’s risk register, board charters, business plan, strategic planning, and ensuring that any relevant matters are brought to the attention of the board.
* The secretary will normally play a support role in organising, running, and recording the Annual General Meetings (AGMs) and any Extraordinary General Meetings (EGMs).

* Registers: Maintaining the Registers of Members, Trustees, Directors, Secretaries and their interests.
* Charities Governance Code: Ensuring the board of charity trustees are aware of the requirements to comply with the relevant codes such as the Code of Conduct for Charity Trustees and the Charities Governance Code.
* Ensuring all relevant statutory returns and information is filed with the CRO and Charities Regulator, such as annual reports, changes to the charity’s details and/or trustees’ details.
* Scheduling timetable of board meetings, preparing meeting notices, agendas, Board materials, quorum, venue/platform, recording decisions and actions
Qualifications & Experience
* Previous Company Secretary experience;an accounting background is preferred.
* An interestin the mission and values of Business to Arts, with a commitment to driving positive societal impact through arts-business collaboration.
* Strong leadership and decision-making skills, with the ability to think strategically and act collaboratively.
* Proven leadership experience in business, arts management, corporate partnerships, fundraising, or related fields.
* Excellent communication, interpersonal, and networking skills, with the ability to inspire and engage diverse audiences.
* Strategic thinker with a collaborative mindset, capable of translating vision into action and achieving measurable impact.
* Integrity, resilience, and a growth mindset, with a willingness to embrace new challenges and opportunities.
Time Commitment: Approximately six hours per month, including six board meetings per year, four committee meetings, and additional cultural events including the annual Business to Arts Awards.
Term of Office: Two x three-year terms
