The Colas Group operates internationally in all aspects of transport infrastructure. As part of the global organisation, Colas Ireland is primarily involved in the distribution of bitumen products, emulsion and emulsifier manufacturing, and the provision of specialist road maintenance services on the national, regional and local road network. In Ireland, Colas operates from 14 locations across the island of Ireland.
Main Responsibilities
1. Support senior management in addressing the legal needs of the business across a spectrum of legal areas including corporate, commercial, competition, procurement, compliance, and construction.
2. Manage all corporate (including restructuring, establishing new entities, dissolution of entities), regulatory (permits, licenses) issues faced by the business.
3. Support the Regional Legal Director on all M&A activities (including JVs and partnerships).
4. Draft company policies and procedures.
5. Liaise with Colas SA on PCG's and other key issues.
6. Consider and review any unusual, complex, or high-value contracts.
7. Review and analyze tenders, contracts, terms & conditions, ancillary documents and other commercial agreements, and draft such contracts, terms and conditions, and ancillary documents relating to the company's business.
8. Support the commercial teams with bespoke pieces of advice and training.
9. Select, instruct, and package the advice of outside counsel.
10. Support the business in the full deployment, implementation, and compliance with the Colas Group compliance programme and advise senior management on corporate governance, ethics, and compliance.
Profile
1. A qualified solicitor or equivalent (minimum 5 PQE/experience) preferable with private practice experience in the corporate department in a top law firm.
2. Exposure to working as an in-house lawyer advantageous.
3. Experience in the infrastructure sector.
4. Previous experience in insurance and/or procurement advantageous.
5. French language skills advantageous.
6. Demonstration of continuous professional development.
