Reports to Client Relationship Manager
The purpose of this position is to carry out routine day-to-day administration of corporate and fund structures under the direction of a Client Relationship Manager.
Key responsibilities:
1. Build and maintain strong working relationships with clients, colleagues and other business contacts.
2. Administration of a range of entities across various corporate and fund vehicles, investment holding companies and fund structuring entities.
3. Coordinate all aspects of company secretarial matters including the preparation of agendas, collation and distribution of board packs, obtaining directors' availability and drafting minutes and resolutions for routine matters.
4. Coordinate and review the work of more junior team members, where applicable.
5. Prepare the appropriate documents for incorporation of companies, annual and other ad hoc filings.
6. Assist with obtaining CDD on shareholders and maintain the register.
7. Maintain accurate records for each entity, ensuring that all amendments are made in a timely manner.
8. Liaise with notary offices, government offices, tax authorities and banks (as applicable).
9. Ensure regulatory and statutory filings are made in a timely manner.
10. Prepare manual and electronic payment instructions to settle expenses and complete transactions throughout the structures.
11. Ensure staff are trained on electronic banking systems and coordinate the opening of new bank accounts.
12. Assist with audit of entities.
Skills, knowledge, expertise:
1. Bachelor or Master's Degree in Law or Business Administration.
2. At least 3 to 4 years of previous experience as an experienced Corporate Officer or Paralegal Officer.
3. The candidate will be expected to be qualified or studying towards a relevant professional qualification (preferably ICSA Certificate level or an accountancy qualification).
4. Sound technical financial services knowledge (to be supported through the Aztec Academy).
5. Strong knowledge of company and partnership laws; an understanding of trusts would also be beneficial.
6. Computer literacy skills are essential.
7. Strong interpersonal skills are required to develop close working relationships with colleagues, clients and business contacts.
