Role/Department:
To work as a Manager in the Corporate Secretarial team.This role relates specifically to the provision of Company Secretarial services for an in-house Management Company with several legal entities under its remit. The role also relates to the provision of advice on Company Secretarial matters pertaining to governance, regulatory compliance and Company Law as required.
Principal Responsibilities:
1. Ensure all aspects relating to governance, regulatory and Company Law are maintained for a portfolio of companies
2. Attend board meetings for portfolio of clients and take comprehensive notes
3. Prepare an action point list of the matters arising from the board meeting and forward it to relevant in-house person for review within three working days of the board meeting
4. Draft minutes and forward them to relevant in-house person for review within twenty business days of the board meeting
5. Produce extracts of minutes etc when required
6. Prepare and circulate board resolutions (e.g. for Interim and Annual Accounts etc) when required.
7. Annual Company Secretarial compliance for a varied portfolio of clients
8. Changes to directors/secretary, registered offices
9. Change of Company Name
10. Changes to Authorised Share Capital (increase, creation, conversion)
11. Changes to Issued Share Capital (allotments, share transfers)
12. Preparation and filing of Annual Returns
13. Holding of Annual General Meetings and Extraordinary General Meetings
14. Maintenance of Section 53 and 194 Registers
15. Notifications to the Financial Regulator and Offshore Authorities
16. Liaising with Sponsoring Brokers
17. Filings with Companies Registration Office and Offshore Authorities
18. Performance of due diligence on company secretarial records for new funds/companies
19. Maintenance of Company Secretarial Records
20. Update the Company Secretarial database whenever any relevant changes occur which would affect the information being held on the database
21. Ensure retention stock transfer forms and Declarations of Trust for all holders of subscriber shares for each company/fund
22. Arrange for the transfer of a share when requested by client
23. To perform other company secretarial functions from time to time as may be required
24. Deal with queries and requests, on a day to day basis, from clients, auditors and internal staff
25. To represent the Company in a professional manner and enhance the perception of the Company as client oriented, proactive and dedicated to providing a superior service.
Skills / Experience
26. ICSA qualification or equivalent Company Secretarial experience in the Funds Industry
27. Experience in a previous Company Secretary role demonstrating the ability to run a portfolio of complex clients
28. Effective organisational skills, with the ability to prioritise tasks
29. Ability to work to deadlines
30. Ability to work on own initiative
31. Strong written communication skills with proven ability in the use of the English language
32. Ability to work as part of a team
