ABOUT THE LAND DEVELOPMENT AGENCY
The Land Development Agency (LDA) is a commercial, semi-State body that seeks to maximise the supply of affordable homes on public and other land in a financially sustainable manner, supporting the creation of thriving communities and delivering ongoing positive social impact. It is overseen by an independent board of directors and is funded with €5 billion of equity capital committed by the Government.⯠It is also permitted to borrow up to €1.25bn
The LDA has commenced construction on a number of projects on State land and has a delivery pipeline in excess of 17,000 homes. It also works in partnership with the country’s largest and most experienced homebuilders and will deliver a further 8,000 homes under the Government’s Project Tosaigh initiative. Additionally, the LDA is working on large-scale longer-term strategic areas by master-planning and bringing forward planning applications in locations such as Limerick Colbert Quarter, the Digital Hub in Dublin and Sandy Road in Galway.
Purpose of Role:
The Board Secretary function has responsibility:
(1) to provide strategic support to the Board in matters relating to governance and legal compliance, and to facilitate efficient administration of the Board and the Committees;
(2) to ensure that statutory company secretarial obligations of LDA group companies are complied with.
The Board Secretary function will be responsible for the following:
· For the meetings, co-ordinate the preparation of agendas and the preparatory papers, minutes, action tracker, decision log. Arrange for the upload of relevant papers and the management of timelines around this.
· Manage external company secretarial resources/contracts.
· Attend the meetings, take the minutes, maintain all appropriate records. Follow up on the Action Tracker.
· In respect of LDA and subsidiaries, co-ordinate statutory and regulatory filings, annual returns, accounts, etc in CRO. Maintain statutory books, including registers of members, directors, shareholders, etc
· Action relevant matters to ensure compliance with relevant statutory requirements and requirements set out in the Code of Practice for the Governance of Public Bodies.
· Ensure preparation of draft minutes and resolutions which are required by company law, where required for business operations and notify relevant stakeholders of decisions, where appropriate (incl. CRO where applicable)
· Assist the Board with revisiting the terms of reference and reserved matters, where appropriate – as and when business operations and the regulatory environment evolves.
· Arrange for the self-assessment of the Board.

· Provide leadership across the organisation focusing on business alignment, accountability for outcomes, and continuous improvement.
· Consciously create a workplace culture that emphasises the LDA’s purpose, mission, vision, and values.
· Drive an integrated approach to all aspects of Board affairs across the agency.
Person Specifications / Key Requirements:
· Relevant qualifications to perform the role
· Third level degree in a relevant discipline
· Excellent insight into the broad secretarial landscape
· Insightful understanding of the needs of an organisation like the LDA
· Experience working as a Board Secretary or related role/s.
· Very strong leadership skills
· Excellent communicator
· Excellent stakeholder relationship management skills
· Very strong collaborator with ability to navigate in a multifunctional environment.
· Action oriented
