This includes advising the business in specialised matters, managing litigation matters, reviewing and providing input to legal documentation including policies and contracts, and advising on regulatory matters. The Corporate and Supply Chain Team is responsible for supporting the CLO with all legal corporate and governance matters, as well as providing legal services in respect of commercial contract drafting and negotiation, and general legal support to the business. They advise on various matters to include employment law issues, freedom of information and data protection. They provide templates and training to the business and monitor corporate and commercial legislative changes and communicate across the business where required. They collaborate with the Legal Asset & Operations team to ensure knowledge sharing and excellence in the delivery of full legal services across Uisce Éireann. Reporting to the Commercial and Corporate Legal Manager, the Commercial and Corporate Solicitor is responsible for supporting the provision of legal advice for the organisation in relation to corporate and commercial matters.Main Duties and Responsibilities:Corporate and Commercial:Support the Commercial and Corporate Legal Manager in providing in-house legal advice for contractual, commercial, governance and customer related matters requiring legal support;Liaise and advise the relevant business areas on corporate and commercial issues;Assist with the management of internal governance and challenge where appropriate;Assist the Secretariat area on all aspects of corporate governance, including writing and maintaining governance policies, devising the overall governance framework to relevant codes of practice and other governance matters as required (to include statutory audits);Draft, negotiate and review required contracts and agreements, including collaboration agreements, research agreements, grant agreements, service agreements and other commercial contracts;Facilitate the training of Uisce Éireann staff in relation to relevant matters within the remit of corporate and commercial law (including business ethics);Challenge and influence poor customer service and practice and oversee any change management initiatives;Monitor and keep the relevant business areas advised of legislative changes and case-law affecting the conduct of the company’s business;Review and advise on legal issues arising in relation to HR and pensions related matters;Advise in relation to the European Communities (Protection of Employees on Transfer of Undertakings) Regulations 2003;Draft and advise on employment contracts.Freedom of Information and Data Protection:Advise on legal issues relating to GDPR matters to include drafting and negotiation of Data Processing Agreements and Data Sharing Agreements;Provide legal advice and support for the Data Protection Officer in relation to SARs and other data protection and data privacy matters;Assist the Freedom of Information Officer on statutory requests and advise in relation to legal matters arising;Manage the Model Publication Scheme.General Duties and Responsibilities:Collaborate with key internal stakeholders across the UÉ business, including but not limited to the Chief Legal Officer, the Commercial and Corporate Legal Manager, the Corporate and Supply Chain Legal Senior Manager, the FOI Officer, the Official Languages Officer and the Data Protection Officer;As with all employees, responsible for promoting health, safety and sustainability commitments across UÉ and its supply chain, reinforcing positive behaviours;As with all employees, support the delivery of the “Uisce Éireann Transformation Programme”, driving results required within the Directorate and supporting organisation-wide objectives;Provide day to day support to the Chief Legal Officer and the business, in conjunction with third party specialists, including external lawyers, to deliver required business outcomes;Ensure that Personal Development is maintained, and that professional knowledge remains current, by participating in appropriate training / courses / seminars, as agreed with the Commercial and Corporate Legal Manager;Other duties as required.Knowledge, Skills and Experience:Qualified Solicitor plus relevant third level qualification and/or accreditation is desirable and or relevant experience; 3-5 years’ experience in one or more of the following areas of law: corporate law, general commercial law, employment law and/or data protection law;Highly motivated individual, working to the highest professional standards and with the proven ability to deliver results at a senior level;Excellent analytical skills and ability to identify and analyse problems and potential improvements, and propose and implement solutions at a senior level;Experience of developing and maintaining effective strategic partnerships with key stakeholders;Proven track record with dealing with complex issues, proactively and in a timely fashion along with the ability to communicate complex information to others;Experience of supporting policies, systems and controls and driving the implementation of progressive policies;Proven track record in promoting and embracing differences of opinion and challenging poor practice;Able to work to deadlines and adapt to changing conditions and ambiguity generating effective and pragmatic solutions to new situations and problems as they are presented;Demonstrated experience influencing an environment of open, honest communication while upholding high ethical standards;Proven track record in leading continuous improvement initiatives in teams.Strong background in team motivation, and performance enhancement;Proven track record in setting safety and wellbeing goals and challenging any unsafe practices.
