Company Secretary (Co Sec)
This pivotal role represents the global organization, acting as a governance expert within all working jurisdictions. The ideal candidate will have prior Company Secretary experience and be passionate about organization and efficiency.
The Company Secretary anticipates the needs of the board/organization and acts as the subject matter expert for country laws, rules, and regulations.
Key Responsibilities
* Calendaring meetings, deadlines, and other matters for the board and its committees.
* Preparing agendas for board and committee meetings and managing all meeting minutes.
* Reviewing, preparing, and distributing board materials containing substantial background information to assist with board and committee meeting preparation.
* Handling the logistics of in-person board meetings and/or scheduling conferencing for virtual board meetings.
* Maintaining records and documentation relevant to the board and its committees.
* Acting as a governance expert, advising on codes, rules, regulations, and ideally country laws for each jurisdiction the organization works within.
* Monitoring corporate governance and other developments that the board and/or its committees need to know.
Requirements
* 2+ years of experience as a Company Secretary (Co Sec)
* Extensive knowledge of corporate governance best practices and company law
* Experience working for a company within multiple countries/jurisdictions
* Strong communication skills, with the ability to work with stakeholders at all levels
Preferred Qualifications
* A degree in law, business administration, or a related field
* Experience working within the United States, United Kingdom, Ireland, Guernsey, and/or Luxembourg
