The Séamus Ennis Arts Centre is seeking a new board member and company secretary to join our active and engaged Board of Directors.
The Séamus Ennis Arts Centre is a charity organisation owned and funded by Fingal County Council and gratefully receives additional supports from the Arts Council of Ireland as well as donations from our members, friends, patrons, and visitors. We use these resources to enrich people’s lives through art, culture, education, and creativity whilst commemorating the work and life of the late Séamus Ennis, without whom our stories would be lost.
General Responsibilities of TSEAC Board Members:
* Comply with the Charity’s governing document.
* Ensure the charity complies with its charitable purpose for the public benefit.
* Act in the best interest of the charity.
* Act with reasonable care and skill.
* Provide strategic oversight to the organisation.
* Ensure that TSEAC complies with all its regulatory and legal requirements.
TSEAC would welcome applications from people with the following skills and/or working in the following areas:
* Finance
* Strategy
* Business Development
Specific Responsibilities of the Company Secretary:
* Maintain the register of any members, the register of directors and secretaries, the register of trustees’ and secretary’s interests.
* Be familiar with the charity’s governing document, the legal responsibilities of charities under the Charities Act 2009, and the charity’s internal governance rules.
* Help ensure that charity trustees file all relevant statutory returns and information with the Charities Regulator (e.g., annual reports, changes to the charity’s details and/or trustees’ details).
* Ensure that the board of TSEAC is aware of the requirements to comply with the relevant codes such as the charity’s Code of Conduct for Charity Trustees and the Charities Governance Code.
* Make sure any correspondence for the charity trustees is brought to the attention of the board.
* Assist the Director and Financial Officer with accounting or audit queries and guidance regarding the same.
This is a voluntary unpaid position.
The Board of Directors meets 4-6 times per year plus the AGM. Board members are expected to contribute to the ongoing development of the organisation and attend additional events where possible. For further information on the current makeup of TSEAC’s Board of Directors and policies, click here.
