A leading public sector client is looking for an Agency Secretariat Senior Manager to support the Agency Secretary, ideal for someone with 5+ years of experience
We are seeking to recruit an Agency Secretariat Senior Manager to support the Agency Secretary in providing secretariat services to the Board and its sub-committees (Audit and Risk Committee, State Claims Agency Strategy Committee, Investment Committee and Remuneration Committee). The Agency Secretariat also provides secretariat services to the Ireland Apple Escrow Fund Investment Committee and a broad range of management committees (Executive Management Team, Ireland Apple Escrow Fund Oversight Committee, National Reserve Fund Oversight Committee, (NDFA) Management Infrastructure Committee, ICT Steering Committee, ISIF Nominations Committee).
The responsibilities of the Agency Secretariat include
(i) organisation and co-ordination of Agency and Committee meetings including settling agendas, oversight of papers and organising presenters / speakers
(ii) ensuring that relevant information is made available on a timely basis to the Agency and its Committees
(iii) supporting Agency and Committee members in the discharge of their functions and in meeting governance requirements
(iv) ensuring good information flows between senior management and the Agency and Committees as well as facilitating induction, mentoring and assisting with on-going professional development for Board and Committee members as required.
In relation to management committees the Agency Secretariat manages governance and coordinates activities including in particular meetings, preparation of work programmes, agendas, minutes and review of papers.
Duties
1. Drafting and review of Board and committee papers;
2. Drafting of Board and Committee meeting minutes and Committee reports (where relevant);
3. Organisation,scheduling and co-ordination of and attendance at Board and committee meetings, including preparation of work programmes, settling of agendas.
4. Ensuring that relevant information is made available on a timely basis to the Agency and its Committees.
5. Advising Board, committees and management on corporate governance related matters and providing support to Board / Committee members in the conduct of their duties;
6. Drafting of Governance Section of our Annual Report, submission of Report and Financial Statements to the Minister and preparation of Chairperson's Comprehensive Report to the Minister to accompany Annual Report;
7. Development of corporate governance policies and procedures in line with best practice and applicable legislation and corporate governance codes;
8. Maintenance of governance related sections of corporate websites;
9. Provision of support in relation to Board /Committee annual effectiveness reviews and ensuring that Terms of Reference reflect review findings;
10. Liaison with senior management, Board and Committee members and key stakeholders including the Department of Finance.
The Agency Secretariat Senior Manager will be required to assist and support the Agency Secretary in the completion of these duties which may include acting as secretary to certain committees.
Knowledge
11. A third-level honours degree or professional qualification
12. Familiarity with corporate governance standards/codes including the Code of Practice for the Governance of State Bodies
13. A good understanding of investment/financial markets and the legal framework within which public bodies such as we operate.
Experience
14. A minimum of ten years relevant experience, working closely with senior management and/or Board members including non-executive directors.
15. Extensive experience drafting documents/reports particularly Board/Committee papers and/or minutes;
16. Experience developing key relationships and the ability to communicate (verbal and oral) at all levels within the corporate environment.
17. Previous experience as Board/committee secretary an advantage.
Skills
18. Excellent verbal and written skills including report writing/drafting papers/minutes, with the ability to communicate clearly and to tailor communications effectively as required.
19. Strong knowledge of relevant legal and governance requirements.
20. Ability to interact effectively with all levels
21. Strength of character and a high level of integrity.
22. A strong stakeholder focus and skills with the ability to engage and influence/negotiate effectively with individuals at all levels, particularly at Senior Management and Board level
23. Ability to work as part of a team and the ability to work collaboratively with others,
24. Exercise discretion in handling confidential and sensitive information.
25. Accuracy and an eye for detail.
26. Ability to work independently and on own initiative.
27. Ability to work under pressure and to tight deadlines.
