Job Description
JPMorgan’s Legal team seeks an experienced lawyer to work in a dedicated legal team that advises the Global Shares business on regulatory, transactional, strategic and BAU matters. Founded in 2005 and acquired by JPMorgan in 2022, Global Shares is a leading provider of share plan administration services. Global Shares’ employee ownership solutions cater to corporates worldwide, and Global Shares has an expansive client base that range from early-stage start-ups to mature multinational public corporations. This is an exciting opportunity to provide general legal coverage to a growing business in a team environment. The successful candidate will provide strategic legal advice on Global Shares’ corporate share plan administration services, focused primarily on supporting Global Shares’ EU-based investment firm and advising on employee share plan arrangements for corporate clients and participants in Europe/UK and across the globe. It will suit a candidate who is comfortable operating in a broad, general advisory role, covering a wide range of regulatory, strategic and general contract matters. The candidate will join the JPMorgan Legal team based in Dublin or London and be part of an international legal team working with colleagues across the US, Europe and Asia.
Job Responsibilities:
1. Provide legal advice to business partners, including senior level management and directors of the Global Shares Group, regarding strategic legal questions;
2. Act as a trusted advisor to business partners, advising on share plan administration law and regulation relevant to both corporate clients and participants;
3. Help the business provide a first class service to corporate clients and their employees, focused on legal risk management and problem-solving;
4. Understand operational aspects of client service, including how individualized services are structured for the relationship, as well as services for participants;
5. Advise on regulatory (. MiFID) matters related to Global Shares’ EU-based investment firm and the wider Global Shares businesses, working with Global Share management and other functions such as Compliance and Risk as required;
6. Help to monitor relevant legislation and regulations affecting Global Shares, engaging with Compliance and Risk to analyze the requirements of new laws and regulations impacting the business;
7. Work closely with colleagues in different locations in Europe, the US and other regions, both business representatives and control functions such as Compliance and Risk, where required.
Required Qualifications, Skills and Capabilities:
8. The successful candidate will have at least 6 years of post-qualification experience, ideally gained with a top law firm and/or in the legal department of a top tier institution.
9. Experience providing advice on regulated services/products and regulatory change within a business.
10. Experience negotiating commercial contracts directly with clients or counterparties, ideally obtained as in-house counsel for a company; effective communication and presentation skills and a consistent track record of effective client relations, demonstrating strong influencing and partnerships skills.
11. Familiarity with the legal and regulatory frameworks governing financial products and services in Europe/UK would be a strong advantage, ., broker-dealer regulations and privacy regulations. Experience working on cross border matters also would be advantageous.
12. Creative problem-solving skills; an ability to translate complex legal concepts into practical solutions.
13. Excellent judgement and decision-making skills, in particular the ability to identify legal risk and direct both the business and external counsel to key issues.
14. An understanding of the operation of employee share plans and trust structures would be an advantage.
