European Bank for Reconstruction & Development Purpose of Job The Associate (Commercial and Technology) provides legal assistance and support to OGC counsel in their work, acting (i) under the general supervision of OGC counsel, with the possibility of handling tasks independently for more simple matters, and (ii) under the close supervision of OGC counsel for more complex matters. Background The Associate (Commercial and Technology) supports the commercial and technology legal team within OGC by assisting the members of the team in the provision of all relevant legal services in their areas of responsibility, ensuring the highest standards of documentation, protection of EBRD's interests and compliance with EBRD's mandate, policies, and procedures. The Associate (Commercial and Technology) may interact directly with a large number of internal and external stakeholders at various levels. Facts / Scale The Associate will support a legal team in OGC by assisting counsel in: - Under the supervision of a counsel, providing legal and policy advice on a substantial number of matters in their areas of responsibility relation to technology, outsourcing, administrative services and institutional procurement (which could include transaction structuring, and drafting and negotiating legal documentation, or dealing with contentious matters); - Under the supervision of a counsel, selecting and managing the engagement of external law firms (including the negotiation of budgets and fees) as well as liaising with external lawyers (often in multiple jurisdictions); and - Monitoring ongoing matters under the supervision of a counsel. Accountabilities & Responsibilities - Provides specialist legal advice in a multi-disciplinary operational team with a view to protect EBRD's interests and ensure compliance with EBRD's internal policies. On more simple matters, the Associate (Commercial and Technology) advises clients under the general supervision of a counsel, with the possibility of handling tasks independently. On more complex matters, the Associate (Commercial and Technology) will work under the close supervision of a counsel. - Drafts, reviews, comments on and negotiates legal documentation, subject to further review and comments from counsel, with a view to identifying and managing legal risks and adhering to EBRD standards. Analyses legal risks and recommends solutions for the consideration of counsel. - Monitors and reviews the work of outside counsel within the framework agreed with counsel. - Develops and preserves thorough knowledge of EBRD's internal policies, procedures and templates with a view to reviewing the compliance of EBRD's activities with relevant policies, procedures and templates. Follows up on legal developments relevant to IT and commercial contracting. - Follows up on the deliverables and deadlines for projects and activities, commercial and technology legal matters to support their timely completion. Identifies and flags potential threats in a timely manner to avoid delays. - Where applicable, assists counsel in carrying out OGC led activities. Knowledge, Skills, Experience & Qualifications - A law and a post graduate law degree, or equivalent work experience gained. - Normally not less than two to four years' prior work experience as a lawyer in private practice or comparable working environment with (i) familiarity with the types and structures of activities of the relevant OGC legal teams, and in-house commercial legal teams, the documentation involved, and drafting and negotiation skills, and (ii) the role of an outside counsel. - Preferably, admitted to practice law in England and Wales and experience advising on commercial contracts governed by English law. - Experience advising on commercial and technology matters, including contracts specific to outsourcing, cloud-based services, software development and the purchase and licensing of other IT products and services. Knowledge of data privacy, intellectual property, information security and confidentiality issues in commercial and IT contracts. - Excellent command of written and spoken English enabling drafting and negotiation of legal documents. - Excellent project management skills, ability to monitor and follow up on many activities concurrently under time constraints and ability to understand and manage priorities. - Excellent interpersonal skills and the ability to explain legal matters and provide guidance in resolving legal issues.
