Company Secretarial / Governance Role
We are seeking a skilled professional to provide company secretarial and governance services to our clients across various industries.
About the Team
Our team comprises experienced professionals, including qualified and part-qualified members of the Chartered Governance Institute, specializing in outsourced company secretarial and governance services.
Key Responsibilities
* Meetings & Documentation: Arrange, attend, and minute directors' and shareholders meetings. Prepare minutes, resolutions, and corporate transaction documents.
* Company Secretarial & Governance Compliance: Maintain statutory registers using Diligent software. Prepare and file Companies Registration Office (CRO) forms. Liaise with the Registrar of Companies on corporate matters. Maintain Register of Beneficial Ownership.
* Governance & Share Scheme Support: Assist in governance services and restructuring projects. Provide share scheme administration support.
* Client & Internal Liaison: Manage client relationships and advise on company law issues. Work with the firm's global network, tax, and audit teams.
* Potential for client secondments
* Administration & Business Development: Manage the billing process. Handle AML/KYC documentation. Collaborate on business development projects.
Qualifications & Experience
* Education: Bachelor's degree in Business, Law, or Accounting.
* Professional Qualification: Chartered Governance Institute (qualified or part-qualified).
* Experience: 2+ years in a law firm, financial services, or in-house role. Open to candidates looking to transition into financial services.
